Terms of Service

These terms govern your use of DataMD's website and services. By engaging DataMD or using this portal, you agree to them.
1. Who we are
DataMD Philippines (“DataMD”, “we”) provides medical data services including spreadsheet cleanup, analytics dashboards, and patient registration and census applications for healthcare clients in the Philippines.
2. Services & proposals
The specific scope, deliverables, timeline, and price for any engagement are set out in a written proposal and, where applicable, a service agreement. A proposal is not binding until accepted and, where required, signed by both parties.
3. Client responsibilities
- Provide accurate information and timely access to the data and people needed to deliver the project;
- Ensure you are authorised to share any data you provide, and that you have a lawful basis to process it under RA 10173;
- Keep your account credentials secure and restrict access to authorised users only.
4. Data protection
For patient data, the client organisation is the Personal Information Controller and DataMD is the Processor. We handle such data only on your instructions and never expose identifiable patient information to DataMD staff. A separate Data Processing Agreement governs these obligations where required. 5. Fees & payment
Fees are quoted in Philippine peso and invoiced per the accepted proposal. Invoices are payable via GCash, Maya, or online bank transfer through PayMongo. Work on paid milestones begins once the corresponding invoice is settled, unless otherwise agreed.
6. Intellectual property
Upon full payment, deliverables created specifically for you are licensed or assigned to your organisation as set out in your agreement. DataMD retains rights to its own pre-existing tools, templates, and know-how used to produce those deliverables.
7. Confidentiality
Each party will keep the other's confidential information secure and use it only to perform the engagement. This obligation survives the end of the engagement.
8. Warranties & liability
We deliver our services with reasonable skill and care. To the extent permitted by law, DataMD is not liable for indirect or consequential losses, and our total liability for any engagement is limited to the fees paid for that engagement. Nothing in these terms limits liability that cannot be limited under Philippine law.
9. Termination
Either party may end an engagement with written notice as set out in the applicable agreement. You remain responsible for fees for work completed up to termination.
10. Governing law
These terms are governed by the laws of the Republic of the Philippines, and disputes are subject to the exclusive jurisdiction of the appropriate Philippine courts.
